OpsDesk 360 Terms of Service
These terms apply to every organisation that uses OpsDesk 360. Please read them before you sign up.
1. Who we are
1.1 OpsDesk 360 is provided by OpsVerse Ltd ("OpsVerse", "we", "us", "our"), a company registered in England and Wales with company number 17213522.
1.2 Our correspondence address is 4th Floor Office, 205 Regent Street, London W1B 4HB.
1.3 You can contact us at moiz@opsverseai.com.
2. Definitions
2.1 "Service" means OpsDesk 360, available at app.opsverseai.com, and any related features we provide.
2.2 "Customer", "you" and "your" mean the organisation that signs up to the Service.
2.3 "Users" means the people you allow to access the Service under your account.
2.4 "Customer Data" means the information, records, files and attachments you or your Users put into the Service.
2.5 "Site" means a single business location that you set up in the Service.
2.6 "Terms" means these terms of service, together with our Data Processing Agreement at /dpa.
3. Business customers only
3.1 The Service is for businesses only, such as franchised car dealerships and dealer groups.
3.2 It is not offered to consumers. By signing up, you confirm that you are acting for a business and not as a consumer.
3.3 The person who signs up confirms that they have authority to accept these Terms for the organisation.
4. Accepting these Terms
4.1 You accept these Terms when you complete sign-up.
4.2 If you do not agree with these Terms, please do not use the Service.
5. What the Service is, and what it is not
5.1 The Service is a record and reminder tool. It helps you keep track of obligations, tasks and evidence.
5.2 The Service does not give legal, regulatory or compliance advice.
5.3 Obligation lists and sector packs are a starting point only. They may not be complete or up to date for your business.
5.4 You remain responsible for your own compliance, and for checking that your records and obligations are right for your business.
5.5 Some features use artificial intelligence. These are off unless you switch them on. When they are on, they propose, and a person decides. You are responsible for reviewing anything they propose before acting on it.
5.6 The record is append-only. Items and their history cannot be edited after the fact. This is deliberate, so the record can be relied on.
6. Sign-up and free trial
6.1 You sign up yourself through the website.
6.2 Each new organisation receives a 14-day free trial.
6.3 We take your card details at sign-up.
6.4 Your first charge is taken on day 15, unless you cancel before then.
6.5 If you cancel during the trial, you will not be charged.
7. Prices
7.1 The Service is priced per Site per month. Each subscription includes unlimited Users.
7.2 Our current prices are shown on our website.
7.3 Prices exclude VAT where applicable. VAT will be added where it applies.
7.4 We will give you at least 30 days' notice by email of any change to our prices.
8. Charter rate
8.1 The Charter rate is available to the first five organisations that start paying before 31 December 2026.
8.2 Under the Charter rate, you pay GBP 999 per Site per month for 12 months from your first payment.
8.3 After those 12 months, you receive 25 percent off the list price for as long as your subscription continues without a break.
8.4 If your subscription ends, the Charter rate ends with it and does not return if you sign up again.
9. Group pricing
9.1 Group pricing is based on your number of active Sites:
(a) 5 to 14 active Sites: 15 percent off the list price.
(b) 15 or more active Sites: 25 percent off the list price.
9.2 Group pricing is applied automatically.
9.3 The Charter rate and group pricing do not combine. Where both could apply, you receive whichever gives you the lower price.
10. Billing and payment
10.1 We bill monthly in advance, in pounds sterling (GBP).
10.2 Card payments are processed by Stripe.
10.3 Groups with five or more Sites may ask to pay by invoice instead. Invoices are payable within 30 days of the invoice date.
10.4 There are no refunds for part months.
11. Late or failed payment
11.1 If a payment fails, or an invoice is not paid when due, we will tell you.
11.2 If payment is still outstanding 14 days later, your account becomes read-only. You can still view and export your Customer Data, but you cannot add new items.
11.3 Full access returns once payment is made.
11.4 We will never delete your Customer Data because of non-payment within the retention period set out in clause 13.
11.5 If an account is still unpaid 60 days after it became read-only, we treat the subscription as cancelled, and clause 13.3 applies: we keep the data for 30 days so you can export it, then delete it.
11.6 We do not charge interest, late-payment fees, or any other charge for late payment.
11.7 We will not claim statutory interest, or the fixed compensation sums, under the Late Payment of Commercial Debts (Interest) Act 1998 on any amount due under these Terms.
12. Cancellation
12.1 You can cancel at any time from Settings in the Service.
12.2 Cancellation takes effect at the end of your current paid month. You keep full access until then.
12.3 We do not refund the remainder of a month after you cancel.
13. Your data
13.1 You own your Customer Data.
13.2 You can export your complete record at any time.
13.3 After cancellation takes effect, we keep your Customer Data for 30 days and then delete it, unless you ask us to delete it sooner.
13.4 You can export your Customer Data during those 30 days.
13.5 If OpsVerse ever stops trading, every organisation will receive a full export of its record.
13.6 Where we process personal data on your behalf, our Data Processing Agreement at /dpa applies and forms part of these Terms.
14. Your responsibilities
14.1 You are responsible for your Users and for what they do in the Service.
14.2 You decide who has access, and at what level. You are responsible for removing access when someone should no longer have it.
14.3 You must keep login details secure and tell us promptly if you believe your account has been accessed without permission.
14.4 You are responsible for making sure you have the right to put Customer Data into the Service, including any personal data.
15. Acceptable use
15.1 You and your Users must not:
(a) use the Service for anything unlawful, or to store unlawful material;
(b) try to access accounts, data or systems you are not authorised to access;
(c) interfere with, overload or disrupt the Service;
(d) introduce malicious code;
(e) copy, resell or reverse engineer the Service, except where the law allows this; or
(f) use the Service in a way that infringes anyone else's rights.
16. Availability
16.1 We use reasonable efforts to keep the Service available.
16.2 At this stage, we do not guarantee any particular level of uptime.
16.3 Where possible, we carry out planned maintenance in published maintenance windows, shown on our /security page.
17. Suspension
17.1 We may suspend access to the Service if you or your Users breach these Terms, including clause 15.
17.2 Where reasonable, we will tell you first and give you a chance to put things right.
17.3 Suspension does not affect your ownership of your Customer Data.
18. Termination
18.1 You may end your subscription at any time by cancelling under clause 12.
18.2 We may end your subscription if you materially breach these Terms and do not put the breach right within 14 days of our notice.
18.3 We may end a subscription without cause by giving at least 90 days' notice by email. You keep full access and a complete export until the end of that notice.
18.4 When your subscription ends, clause 13 applies to your Customer Data.
18.5 Clauses that by their nature should continue after the end of your subscription will continue, including clauses 11, 13, 19, 20, 21, 23 and 26.
19. Confidentiality
19.1 Each of us will keep the other's confidential information confidential, and use it only for the purposes of these Terms.
19.2 Your Customer Data is your confidential information.
19.3 This does not apply to information that is public through no fault of the receiving party, that the receiving party already lawfully had, or that it must disclose by law.
20. Intellectual property
20.1 We own the Service and the software behind it, and all intellectual property in them.
20.2 You own your Customer Data. You give us permission to use it only to provide the Service to you and as set out in our Data Processing Agreement.
20.3 If you give us feedback or suggestions, we may use them to improve the Service, without any obligation to you.
21. Liability
21.1 Nothing in these Terms limits or excludes liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation; or
(c) anything else that cannot be limited or excluded by law.
21.2 Subject to clause 21.1, neither of us is liable for any indirect or consequential loss, or for any loss of profit.
21.3 Subject to clause 21.1, our total liability to you under or in connection with these Terms is limited to the greater of the fees you paid us in the 12 months before the claim arose and GBP 1,000.
22. Changes to these Terms
22.1 We may change these Terms from time to time.
22.2 We will give you at least 30 days' notice of any change by email.
22.3 If you do not agree with a change, you may cancel before it takes effect.
23. Governing law and courts
23.1 These Terms are governed by the law of England and Wales.
23.2 The courts of England and Wales have jurisdiction over any dispute arising from them.
24. Notices
24.1 Notices to us should be sent to moiz@opsverseai.com. Notices to you will be sent to the email address on your account.
25. Events outside our control
25.1 Neither of us is liable for a delay or failure caused by events outside our reasonable control, such as a failure of a hosting or payment provider, power or network failure, or action by a government. The affected party will tell the other and take reasonable steps to limit the effect.
26. General
26.1 You may not transfer your subscription to someone else without our written agreement. We may transfer our rights and obligations under these Terms to a buyer of all or part of our business, and will tell you by email if we do.
26.2 If a court finds any part of these Terms invalid, the rest of the Terms continue to apply.
26.3 These Terms, with our Data Processing Agreement, are the whole agreement between us about the Service. Nothing outside them forms part of it, but nothing in this clause limits liability for fraud.
26.4 Only you and we have rights under these Terms. No one else may enforce them under the Contracts (Rights of Third Parties) Act 1999.
26.5 If either of us does not enforce a right straight away, we can still enforce it later.
